Overview

This document includes the full terms and conditions applicable to you being a Holistic Hemp Scotland Affiliate Member. The aim of this agreement is to define the terms under which Holistic Hemp Scotland Website links and traffic can be created (www.holistichempscotland.com) by digital marketing means including HTML links in blogs, email, social media, and other methods.

Affiliate Linking

As an member, you can use graphics and text links to promote and advertise your link on the world wide web through digital marketing methods. You can only use Holistic Hemp Scotland provided graphics and texts as found on our social media or website (www.holistichempscotland.com).

Revocation Of Affiliate Status

If this contract is broken the affiliation will be cancelled. In cases of alleged criminal activity, membership can be revoked with no notice. Unless the affiliation with Holistic Hemp Scotland is terminated, the member will be deemed disqualified for life and will not be allowed to rejoin the system at any time. For the following reasons concerning inappropriate/unsuitable content, account may be revoked immediately: False advertisement relating to Holistic Hemp Scotland, spamming of links, use of copyrighted materials on your website, abuse or bullying of anyone on your website or platforms, and/or other content that Holistic Hemp Scotland considers to be explicit. Please contact us at info@holistichempscotland.com for questions about enforcement or revocation.

Brand Name Usage

In no way can the name “Holistic Hemp Scotland” be used as any feature of your website URL, blog address or title, Facebook Page or Profile, YouTube Channel, Twitter Handle, Instagram Username, or any domain or digital profile or presence associated with your specific affiliate account and unique affiliate link.

Infringement Of Copyrights And Trademarks

Holistic Hemp Scotland reserves the rights and will actively seek legal action against affiliates that infringe on our copyrights and registered trademarks, or that replicate our product designs under a different brand.

Terms Of Agreement

The terms and conditions of this agreement will begin upon signing and registering with the Holistic Hemp Scotland affiliate program and will end upon termination of your account. The terms are subject to modification by us at any time. If you do not consent to any changes, you can request that your affiliation be cancelled.

False Statements

Registration and membership in the Holistic Hemp Scotland program assures your commitment with all of the marketing strategies or programs that you can not and do not make all deceptive, inaccurate or untrue claims. Holistic Hemp Scotland reserves the right to suspend all activities and hence their discounts in order to prevent disputes and to protect the reputation of the Holistic Hemp Scotland brand for sales-generating phrases which Holistic Hemp Scotland considers to be false or inflammatory claims of our products, services or websites.

Grant Of Licenses

Holistic Hemp Scotland grants you a non-exclusive , non-transferable, revocable right to access our site through HTML links only in compliance with the terms of this Agreement and solely in conjunction with such links, to use our logos, trade names, trademarks and similar identifying material (collectively, the “Licensed Materials”) that we provide to you or allow for such purposes. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of the Holistic Hemp Scotland Affiliate Program. You agree that all uses of the Licensed Materials will be on behalf of Holistic Hemp Scotland and the goodwill associated will insure to the sole benefit of Holistic Hemp Scotland as well. Participation in the Holistic Hemp Scotland Affiliate Program guarantees in writing that you consent not to use the proprietary materials in any manner that is disdainful, deceptive, offensive or otherwise depicts the group in a negative light. Each party retains all its rights in the proprietary materials that are protected by this licence. Other than the licence granted in this Agreement, each party shall retain all right, title, and interest to their respective rights and no right, title, or interest shall be transferred to the other.

Representations And Warranties

You represent and warrant that:

You have properly and validly executed and delivered this Agreement, and it constitutes your sovereign, valid and binding duty, enforceable against you in compliance with its terms;

You have the full right, power and authority to enter into and satisfy your obligations under the terms and conditions of this Agreement, without the permission or approval of any other party;

You have sufficient interest, right and title in the rights conferred on us in this Agreement and in them.

Limitations Of Liability

With regard to the subject matter of this Agreement, we shall not be liable to you under the contract , negligence, lawsuit, strict liability or other civil or equitable principle for any actual, consequential, exceptional or exemplary damages (including, without limitation, loss of revenue of goodwill or expected profits or lost business), even if the possibility of such damages has been advised. Furthermore, despite anything to the contrary found in this Agreement, the total liability of holistichempscotland.com to you arising from or in connection with this Agreement, whether on the grounds of contract, negligence, strict liability, tort or any other legal or equitable principle, shall in no case be borne by you, not surpass the total commission fees charged under this Agreement not you.

Indemnification

You hereby agree to indemnify and hold harmless Holistic Hemp Scotland and affiliates, together with any and all of their members, subscribers, owners and employees against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs and expenses (including reasonable attorneys’ expenses fees), (any or all of the foregoing ‘Losses’) to the extent that such losses (or actions in respect of such losses) arise from or are based on (i) any claim that our use of the affiliate marks infringes any trademark, trade name, service mark, copyright, license, intellectual property or other proprietary right of any third party, (ii) any misrepresentation of a representation or promise or violation of a covenant and arrangement rendered by you herein, or (iii) any statements relating to your website, including, without limitation, material not attributable to us (iv.) failure or shutdown of any social media network, including Instagram.

Confidentiality

All confidential information, including, but not limited to, any corporate, technical, financial and consumer information revealed by one party to the other during the negotiation or the effective term of this Agreement marked ‘Confidential,’ shall remain the sole property of the disclosing party and shall remain confidential and shall not be used or released by either party of the other party without the disclosing party’s express written permission.

Miscellaneous

You agree that you are an independent contractor and no partner, joint venture, agency, franchise, sales representative or employment relationship between you and Holistic Hemp Scotland, an online website and e-commerce marketplace, will be created by anything in this agreement. You will have no authority, on our behalf, to make or accept any offers or representations. You will not make any statement that would reasonably contradict anything in this Section, be it on your Site or any other of Your Site or otherwise. You are not and should not be referred to as a Distributor.

None of the parties may assign their rights or obligations under this Agreement to any party, except to a party which obtains all or substantially all of a third party ‘s business or assets.

This Agreement shall be regulated by and interpreted in compliance with the laws of UK and the EU, irrespective of the differences of laws and principles thereof.

You may not amend or waive any provision of this Agreement unless you have both parties signed it in writing.

This Agreement represents the entire agreement between you and us, and will replace all prior oral or written agreements and communications of the parties.

The headings and titles contained in this Agreement are included for convenience only, and the terms of this Agreement shall not be restricted or otherwise affect.

Where any provision of this Agreement is deemed to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary to enforce the intent of the parties and shall have full force and effect on the remainder of this Agreement.

Modification

We may at our sole discretion modify any of the terms and conditions set out in this Agreement at any time. You’ll be told by email in such case. Changes may include, but are not limited to, improvements to the payment processes and rules for the Holistic Hemp Scotland affiliate system. If you find any modification unacceptable, your only option is to terminate this Agreement. After posting the change notice or new agreement on our site, your continued participation in the Holistic Hemp Scotland affiliate program will indicate your agreement to the changes.
